Vincent Poovaragan my favorate character


Today I was watching Dasavataram where Kamal Hassan portrays 10 different roles. For long I wanted to write a blog about my favorite role but I forgot for some reason. Today I thought it would be right time to dedicate my favorite one. 

Vincent Poovaragan portrays role of an illiterate Dalit who fights to uplift his community and an activist who fights form Mud Mafia. Dialogue delivery of this role is very powerful which has lots of punch lines, social message, affection, leadership messages etc. spoken in Tamil in Naragkoil lingo.

 Who else could have justice to such a powerful role other than Kamal. This particular character fairs well in makeup / getup, dialogue delivery, characterization et more. I think Kamal can get an Oscar for this role alone.

Why do I Blog?


I’ve been blogging from 2002 but I’ve become a consistent blogger only for last one year. So that made me a avid blogger? 

  • I want to express my thoughts & experience to as much as possible.
  • Want to document my experience and I can refer back to my good and challenging times and cherish them.
  • After blogging my perception of looking at things got changed. I look for experience in every moment in life. When I come across traffic jams, corrupt bureaucrats I’m able to flush out my frustration by Blogging out.
  • When I feel lonely I can engage myself because of Blogging.
  • Blog is wonderful tool to market my company & thoughts.
  • When I post a blog about any problem / challenge I get lots of help / solutions from my kind readers.
  • After blogging I reduced on doing crap things that has saved lot of time & money for me.

There are more benefits I’m reaping because of blogging. I started blogging casually but I was taken by things I was able to gain and became a serious blogger.

Peak of Confidence!!!


A hypothetical situation where 20 CEOs board an airplane and are told that the flight that they are about to take is the first-ever to feature pilotless  technology: 
 
It is an un-crewed aircraft. Each one of the CEOs is then told, privately, that their company’s software is running the aircraft’s automatic pilot system. 
 
Nineteen of the CEOs promptly leave the aircraft, each offering a different type of excuse. 
 
One CEO alone remains on board the jet, seeming very calm indeed. Asked why he is so confident in this first un-crewed flight, he replie: 
 
“If it is the same software that’s developed by my company’s IT systems department, this plane won’t even take off.” !!!!

Services offered & to be offered by CCS


Thought there are bouquets of services offered by Cogzidel Consultancy Services (CCS) we have accomplished most of the listed services we have offered and it is my desire to complete the entire cycle of services soon.

Some of the services which have already been offered:

Company Incorporation: In fact I must say this has been the star product/service offered by CCS. From the date of inception we have incorporated 20+ Private Limited companies.

Trademark Registration: This is our second star product/service. Though this service was listed right from our inception. We got our first client only in the month of March 2009 only to get more and more every month. Till date we have applied for Trademarks for 20+ companies.

Statutory Compliance: This has been our third superstar service. We have registered for Service Tax, Professional Tax & Sales Tax for 15+ companies some are renewed banks. We have also calculated, worked & filed Service Tax, Sales Tax, Professional Tax and Income Tax returns for 40+ companies.

Accounting & HR Services: This service includes Accounts Punching, Tax Calculation, Payroll Processing & Statutory Compliance Management. We take care of all the Accounts & HR (Excluding Recruitment) operations of an organization leaving the promoters to concentrate on operations and marketing. This is one service which we want to promote as this gives us residual income. We have 7 clients for whom we work on this on a monthly contract basis.

Drafting Agreements: Though we do this to our clients for most of the services. We have serviced 4 clients to whom we have exclusively drafted agreements.

Individual IT returns filing: Thought this is not in our core business agenda we have added this in our services list as we have to file IT Returns for our own staff who number around 50 people and to our client’s staff who number to another 150+ people. We had a target to file 1000+ individual IT returns but we ended up by filing for 250 people only. We went to people at the last moment and we have our lessons using which we can achieve our target by next financial year.

Business Plan Writing: This is one service which is picking up off late. After serving a client in writing his Business Plan 6 months back to pitch in for investment. We are getting couple of enquires off late.

Fund Raising: This would have been our No.1 product provided if we are able to raise funds for all enquires. We are working on ways to be successful in raising funds for our clients though Venture Capitalist, Angel Investors, Private Equities, and Bank Loans etc. once we catch hold of a formula we will take this in a Big way.

Till now we have not offered services clients for only one listed service.

Franchise Consulting: Thought we have all necessary alliance and knowledge to help individuals to get a right franchisee or for a company to launch its own franchisee we have not reached to the targeted clients yet. Still we have not received any enquiry on this. I must sit and analyze where we are lacking and how to improve in this service.

Incorporating a LLP: Incorporating Limited Liability Partnership is a new option for individuals to run a registered company like LLC in US. This is a very new service and we have to tap this market.

Never wait to express your LOVE – It might become too late


After 21 years of marriage, my wife wanted me to take another woman out to dinner and a movie. She said I love you but I know this other woman loves you and would love to spend some time with you.

The other woman that my wife wanted me to visit was my MOTHER, who has been a widow for 19 years, but the demands of my work and my three children had made it possible to visit her only occasionally.

That night I called to invite her to go out for dinner and a movie.

‘What’s wrong, are you well,’ she asked? My mother is the type of woman who suspects that a late night call or a surprise invitation is a sign of bad news.

‘I thought that it would be pleasant to be with you,’ I responded. ‘Just two of us.’

She thought about it for a moment, and then said, ‘I would like that very much.’

That Friday after work, as I drove over to pick her up I was a bit nervous.

When I arrived at her house, I noticed that she, too, seemed to be nervous about our date. She waited in the door with her coat on. She had curled her hair and was wearing the dress that she had worn to celebrate her last wedding anniversary.

She smiled from a face that was as radiant as an angel’s.

‘I told my friends that I was going to go out with my son, and they were impressed, ‘she said, as she got into the car. ‘They can’t wait to hear about our meeting’. We went to a restaurant that, although not elegant, was very nice and cozy. My mother took my arm as if she were the First Lady.

After we sat down, I had to read the menu. Large print. Half way through the entries, I lifted my eyes and saw Mom sitting there star ing at me. A nostalgic smile was on her lips.

‘It was I who used to have to read the menu when you were small,’ she said. ‘Then it’s time that you relax and let me return the favor,’ I responded.

During the dinner, we had an agreeable conversation – nothing extraordinary, but catching up on recent events of each other’s life.

We talked so much that we missed the movie.

As we arrived at her house later, she said, ‘I’ll go out with you again, but only if you let me invite you.’ I agreed.

‘How was your dinner date?’ asked my wife when I got home. ‘Very nice.

Much more so than I could have imagined,’ I answered.

A few days later, my mother died of a massive heart attack. It happened so suddenly that I didn’t have time to do anything for h er.

Some time later, I received an envelope with a copy of a restaurant receipt from the same place mother and I had dined.

An attached note said: ‘I paid this bill in advance. I wasn’t sure that I could be there; but nevertheless, I paid for two plates – one for you & the other for your wife. You will never know what that night meant for me.

I love you, son.

At that moment, I understood the importance of saying in time: ‘I LOVE YOU!’ and to give our loved ones the time that they deserve. Nothing in life is more important than God and your family. Give them the time they deserve, because these things cannot be put off till ‘some other time.’

Pass this along to everyone with an aging parent, to a friend, to an adult.

Your first cousins are the people in your family who have two of the same grandparents as you. In other words, they are the children of your aunts and uncles.

Second Cousin

Your third cousins have the same great-great-grandparents; fourth cousins have the same great-great-great-grandparents, and so on.

Removed

When the word “removed” is used to describe a relationship, it indicates that the two people are from different generations. You and your first cousins are in the same generation (two generations younger than your grandparents), so the word “removed” is not used to describe your relationship.

The words “once removed” mean that there is a difference of one generation. For example, your mother’s first cousin is your first cousin, once removed. This is because your mother’s first cousin is one generation younger than your grandparents and you are two generations younger than your grandparents. This one-generation difference equals “once removed.”

Twice removed means there is a two-generation difference. You are two generations younger than a first cousin of your grandmother, so you and your grandmother’s first cousin are first cousins, twice removed.

Registering Limited Liability Partnership in India


A Limited Liability Partnership may be incorporated as per the procedure explained below:

User Registration

• Register yourself on the website of Ministry of Corporate Affairs, developed for LLP services, i.e. www.llp.gov.in. This website may also be accessed through the website of the ministrywww.mca.gov.in. On the home page of the URL www.llp.gov.in click “Register” tab on top right hand corner of the page.

• Fill in the registration form. Fields marked * in the form are to be mandatorily filled. Select your user name and password.

• Upload digital signature certificate

• On successful registration, system will give a message that you have been registered successfully. 

Obtain Designated Partners Identification Number (DPIN).

• All designated partners of the proposed LLP shall obtain “Designated Partner Identification Number (DPIN)” by filing an application individually online in Form -7.

• For obtaining DPIN kindly log in by clicking on the “Login” tab on top right corner of the home page, enter your user name and password. After login, click on the E-forms link. List of e-forms will open. Click and open  Form 7.

• Fill up “Form 7” for allotment of DPIN

• Pay filing fee of Rs.100 online through credit card (master/visa)

• Submit the application form online. The system will generate a provisional DPIN. Kindly note it carefully

• Take the print out of the application form, affix a latest passport size photograph and get it attested/certified for submission physically along with documentary evidences for proof of identify and proof of residence with the Registrar LLP.

• Deliver the printed and signed application form, along with the prescribed documents by hand/courier/registered post to the Office of Registrar, Ministry of Corporate Affairs,  3rd Floor, “Paryavaran Bhawan”, CGO Complex, Lodhi Road, New Delhi-110003.

Digital Signature Certificate

• Partner/Designated partner of LLP/proposed LLP, whose signatures are to be affixed on the e-forms has to obtain class 2 or class 3 Digital Signature Certificate (DSC) from any authorized certifying agency, details of which are available on the home page of the llp portal under the tab “Certifying Authorities”.

Reservation of name

• Log on to the LLP portal by clicking the “log in” tab on the top right corner of the homepage and enter your username and password. After login, click “E-Forms” link.

• Open Form-1 for reservation of name and fill in the details. Select name of the proposed LLP (upto 6 choices can be indicated).

• Any partner or designated partner in the proposed LLP may submit Form-1.

• Append digital signatures and submit the e-form

• Pay the necessary fee by credit card (master/visa).

• Free name search facility (of existing companies / LLPs) is available on MCA portal (hyper link available on LLP portal).The system will provide the list of similar/closely resembling names of existing companies/LLPs based on the search criteria filled up.

• Details of minimum two designated partners of the proposed LLP, one of them must be a resident of India, is required to be filled in the application for reservation of name. Only individuals or nominees on behalf of the bodies corporate as partners can act as designated partners.

• Check status of your application by logging on the portal.

Incorporation of LLP

• Once the name is reserved  by the Registrar, log on to the portal and fill up Form-2 “Incorporation Document and Statement”.

• Pay the prescribed registration fee as per the slab given in Annexure A of the LLP Rules, 2009, based on the total monetary value of contribution of partners in the proposed LLP.

• Statement in the e-form is to be digitally signed by a person named in the incorporation document as a designated partner having permanent DPIN and also to be digitally signed by an advocate/company secretary/chartered accountant/cost accountant in practice and  engaged in the formation of LLP.

• On submission of complete documents the Registrar after satisfying himself about compliance with relevant provisions of the LLP Act will register the LLP, maximum within 14 days of filing of Form-2 and will issue a certificate of incorporation in Form-16.

Filing of LLP agreement (Form-3) and Partners’ details (Form-4)

• Form 3 (Information with regard to LLP agreement and changes, if any made therein) and Form-4 (Notice of Appointment of Partner/Designate Partner, his consent etc.) may be filed with the prescribed fee simultaneously at the time of filing Form-2 or within 30 days of the date of incorporation or within 30 days of such subsequent changes.

1. For registration of Limited Liability Partnership including conversion of a firm or a private company or an unlisted public company into Limited Liability Partnership:

(a) Limited Liability Partnership whose contribution does not exceed Rs. 1 lakh

2. The difference between the fees payable on the increased slab of contribution and the fees paid on the preceding slab of contribution shall be paid through Form 3.

For filing, registering or recording any document, form, statement, notice, Statement of Accounts and Solvency, annual return and an application along with the Statement for  conversion of a firm or a private company or an unlisted public company into LLP by this Act or by these rules required or authorized to be filed, registered or recorded:

(a) Limited Liability Partnership whose contribution does not exceed Rs. 1 lakh

(b) Limited Liability Partnership whose contribution exceeds Rs. 1 lakh but does not exceed Rs. 5 lakhs

(c) Limited Liability Partnership whose contribution exceeds Rs. 5 lakhs but does not exceed Rs. 10 lakhs

(d) Limited Liability Partnership whose contribution exceeds Rs. 10 lakh

4. Fee for any application other than application for conversion of a firm or a private company or an unlisted public company into LLP shall be as under:-
